Terms & Conditions

The text below is a legally binding agreement governing access to and use of ZipLaw’s hosted platform and related services. Please read it carefully.


These Terms & Conditions (“Agreement”) constitute a legally binding contract between ZipLaw, Inc. (“Company,” “we,” “our,” or “us”) and any individual or entity (“User,” “you,” or “your”) that accesses, subscribes to, or uses the Company’s hosted software-as-a-service platform and related offerings (collectively, the “Services”).

Acceptance

By accessing, subscribing to, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these Terms & Conditions, you must not access or use the Services.

Services

The Company provides access to a hosted software system designed to facilitate legal research, research summaries, document preparation, case monitoring, and related informational functions intended primarily for incarcerated individuals and their supporters. Incarcerated users may access the Services indirectly through institutional messaging platforms such as CorrLinks or through printed and mailed outputs. Family members, friends, and administrators may access the Services through web-based portals or dashboards.

No legal advice. ZipLaw, Inc. is not a law firm and does not provide legal advice, legal representation, or legal strategy. All materials, outputs, research, summaries, templates, and drafted content generated or provided through the Services are for informational purposes only and must not be relied upon as legal advice. Users remain solely responsible for verifying accuracy, compliance, and applicability to their specific circumstances.

Subscription & Billing

Access to the Services is provided on a subscription or recurring access basis. Payments are processed through Stripe or other designated third-party payment processors. The Company does not store full payment card numbers or bank account credentials. All payments, deposits, credits, and subscription fees are final and non-refundable.

If a subscription is canceled, access will continue through the end of the then-current billing period, after which the subscription will terminate without any pro-rated refunds or credits. Chargebacks are strictly prohibited. In the event of a chargeback, you agree to reimburse the Company for the outstanding subscription amount, a fifty-dollar administrative fee, and any third-party processing or recovery costs incurred.

User Conduct

Users agree to use the Services lawfully and responsibly. Prohibited conduct includes, but is not limited to, uploading or requesting content involving UCC liens, so-called “sovereign citizen” theories, pseudo-legal filings, fraudulent schemes, or other abusive or unlawful materials; using the Services to harass, threaten, defraud, or engage in criminal conduct; attempting to circumvent or interfere with security measures or access controls; or sharing account credentials with unauthorized individuals.

Communications & Monitoring

All communications transmitted through the Services, including inmate messages, responses, and generated outputs, may be logged, stored, reviewed, and audited for quality assurance, compliance, abuse prevention, security, operational integrity, and billing purposes. By using the Services, you expressly consent to such monitoring and review.

Disclaimer of Warranties

The Services are provided strictly on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, the Company disclaims all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

The Company does not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any outputs or results will be accurate, complete, or suitable for any particular legal objective. The Company is not responsible for delays, outages, or failures caused by third-party systems or services, including CorrLinks, Stripe, cloud infrastructure providers, postal services, or correctional institutions.

Limitation of Liability

To the maximum extent permitted by law, ZipLaw, Inc. shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, or goodwill, arising out of or relating to the use of the Services, even if advised of the possibility of such damages.

ZipLaw, Inc.’s total aggregate liability for any claim arising out of or relating to the Services or this Agreement shall not exceed the total subscription fees actually paid by you to ZipLaw, Inc. during the one-month period immediately preceding the event giving rise to the claim. Incarcerated users remain solely responsible for all filings, deadlines, procedural decisions, and legal compliance.

Indemnification

You agree to indemnify, defend, and hold harmless ZipLaw, Inc. and its officers, directors, employees, contractors, and affiliates from and against all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Services, your violation of this Agreement, or any unlawful or abusive conduct conducted through your account.

Termination

ZipLaw, Inc. may suspend, restrict, or terminate access to the Services, in whole or in part, at any time and without refund if it reasonably determines that a User has violated this Agreement, engaged in unlawful or abusive activity, or compromised the security or integrity of the Services.

Governing Law & Venue

This Agreement shall be governed by and construed in accordance with the laws of the United States of America, without regard to conflict-of-law principles. Any action or proceeding arising out of or relating to this Agreement or the Services shall be brought exclusively in the federal courts of the United States. You consent to personal jurisdiction and waive any objection based on venue or forum non conveniens.

Miscellaneous

This Agreement constitutes the entire agreement between you and ZipLaw, Inc. regarding the subject matter herein and supersedes all prior or contemporaneous agreements or communications. Any claims must be brought solely in an individual capacity and not as part of any class, collective, or representative action.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. ZipLaw, Inc. may update these Terms & Conditions from time to time by posting a revised version, and continued use of the Services constitutes acceptance of the updated Agreement.

For the avoidance of doubt, nothing in these Terms or the Services shall be construed as legal advice or the practice of law. Users are encouraged to consult licensed attorneys regarding their specific legal matters.
